1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Openline Inc. ("Openline," "we," "us," or "our") concerning your access to and use of our eSIM services, website, and mobile applications.

By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access our services.

2. Services Description

Openline provides eSIM data connectivity services in 100+ countries through partnerships with Tier-1 mobile network operators. Our services include:

eSIM profile provisioning and activation
Mobile data connectivity in supported countries
Multiple network switching and optimization
Account management through our website and applications
Customer support services

3. Eligibility

You must be at least 18 years old to use our services. By using our services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. Account Registration

To use our services, you must create an account. You agree to:

Provide accurate, current, and complete information
Maintain and update your information to keep it accurate
Maintain the security of your account credentials
Accept responsibility for all activities under your account
Notify us immediately of any unauthorized access or use

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Device Compatibility

Our eSIM services require a compatible device that supports eSIM technology and is carrier-unlocked. You are responsible for ensuring your device meets these requirements. We do not guarantee compatibility with all devices and are not responsible for any issues arising from device incompatibility.

6. Payment and Billing

Pricing

All prices are listed in USD and are subject to change. We will notify you of any price changes before they take effect.

Payment Methods

We accept various payment methods including credit cards, debit cards, and other methods as displayed on our platform. You authorize us to charge your selected payment method for all fees incurred.

Refunds

Data plans are generally non-refundable once activated. Refunds may be provided at our discretion in cases of technical issues that prevent service delivery. Refund requests must be submitted within 7 days of purchase.

7. Data Plans and Usage

Data plan details including data allowances, validity periods, and coverage areas are specified at the time of purchase. You agree that:

Data plans expire according to the specified validity period
Unused data does not roll over unless explicitly stated
Network coverage and speeds may vary by location and network conditions
Fair usage policies apply to unlimited plans
Prohibited activities include reselling, commercial use without authorization, and illegal activities

8. Service Availability

While we strive to provide continuous service, we do not guarantee uninterrupted or error-free service. Service availability may be affected by factors including but not limited to: network operator maintenance, technical issues, natural disasters, or governmental actions. We are not liable for service interruptions beyond our reasonable control.

9. Prohibited Uses

You may not use our services to:

Engage in any illegal activities or violate any laws
Transmit harmful, offensive, or inappropriate content
Interfere with or disrupt our services or networks
Attempt to gain unauthorized access to our systems
Use automated systems to access our services without permission
Resell our services without authorization
Violate any network operator policies or terms

10. Intellectual Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, software, and trademarks, are owned by Openline or our licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

11. Limitation of Liability

To the maximum extent permitted by law, Openline shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services.

12. Indemnification

You agree to indemnify and hold harmless Openline and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services or violation of these Terms.

13. Termination

We may terminate or suspend your account and access to our services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use our services will immediately cease. Active data plans may be forfeited upon account termination for Terms violations.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on our website and updating the "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in San Francisco, California.
